1) LEGAL ENTITY AND CONTACT INFORMATION

These Terms of Service (“Terms”) form a legally binding agreement between you (“Client,” “you,” “your”) and:

By purchasing, subscribing to, accessing, or using any MarketINK services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2) SCOPE OF TERMS AND ORDER OF PRECEDENCE

These Terms govern all MarketINK services, including any plan, subscription, add-on, consulting engagement, onboarding process, and delivery.

These Terms incorporate by reference MarketINK’s public policies, including without limitation the Return & Refund Policy, Privacy Policy, and Purchase Options Cancellation Policy (collectively, “Policies”).

If there is any conflict between these Terms and any other page or policy, these Terms control to the fullest extent permitted by law.

3) NATURE OF SERVICES

MarketINK provides customized, non-tangible, time-based professional services designed to support lead generation and booking outcomes for tattoo artists. Services may include, without limitation:

  • Paid advertising strategy and management

  • Creative direction and campaign structuring

  • Instagram DM automation setup and workflow configuration

  • Lead handling processes and operational guidance

  • Optimization, reporting, and consulting

  • AI-assisted automation configuration (“INKY”) where purchased or included

MarketINK is a service provider. MarketINK may configure and manage workflows using third-party platforms and tools. MarketINK does not sell software licenses and does not guarantee uninterrupted availability of any third-party service.

4) ELIGIBILITY AND AUTHORITY

You represent and warrant that:

  • You are at least 18 years old.

  • You operate your business legally in your jurisdiction.

  • You have the authority to provide access to required business assets (including ad accounts, social accounts, and creative materials).

  • You have the authority to accept these Terms on behalf of yourself and, if applicable, your business.

5) SUBSCRIPTIONS, BILLING, AND CANCELLATION

Unless otherwise stated in writing, MarketINK services are sold as monthly subscriptions that renew automatically each billing cycle.

Cancellation. You may cancel your subscription prior to your next billing date. Cancellation stops future billing only and does not result in refunds, credits, or prorations.

Strategic recommendation (not a payment obligation). MarketINK recommends a minimum of three (3) consecutive months of service to allow adequate setup, data collection, iteration, and optimization. This recommendation is not a binding minimum payment obligation unless a separate written agreement explicitly states otherwise.

MarketINK reserves the right to suspend service for non-payment or failed payment methods.

6) WHEN SERVICE BEGINS

Service delivery is deemed to begin when any of the following occurs (whichever happens first):

  • An onboarding or strategy call is completed;

  • MarketINK begins work on setup, configuration, campaigns, automation, creative structuring, or related implementation;

  • You submit onboarding information, form inputs, access credentials, or other materials used to configure the service.

Once service begins, time, labor, and intellectual property are allocated. You acknowledge that these allocations are not reversible.

7) NO REFUNDS; NO RETURNS

All MarketINK services are non-tangible, customized, and time-based. No physical goods are shipped. Accordingly:

  • There are no returns.

  • All payments are final and non-refundable, including but not limited to subscription fees, setup work, consulting time, strategy, creative structuring, automation configuration, and optimization.

Refund terms are governed by the Return & Refund Policy and reinforced by these Terms.

8) NO GUARANTEE OF RESULTS; NO PERFORMANCE WARRANTIES

MarketINK provides marketing and automation services. MarketINK does not guarantee any specific outcome, including without limitation:

  • Bookings

  • Leads

  • Revenue

  • ROI

  • Conversion rates

  • Business growth

  • Cost per lead or cost per booking targets

You acknowledge that outcomes depend on numerous factors beyond MarketINK’s control, including without limitation your offer and pricing, market demand, competition, seasonality, advertising budget, speed of response to leads, creative quality, compliance with platform policies, and algorithmic changes.

No performance-based refunds or credits are offered.

9) ADVERTISING BUDGET AND THIRD-PARTY PLATFORMS

Ad spend not included. Advertising spend is not included in MarketINK subscription fees unless explicitly stated in writing.

You are solely responsible for funding advertising spend through your own ad account or approved payment method. Insufficient budget may materially affect performance.

Platform dependency. MarketINK is not responsible for third-party platform limitations, outages, account restrictions, policy enforcement actions, algorithm changes, bans, payment failures, or similar issues. You acknowledge that MarketINK cannot control Meta, Instagram, Shopify, payment processors, or any third-party platform.

10) CLIENT RESPONSIBILITIES AND COOPERATION

You agree to cooperate in good faith and fulfill the responsibilities required to perform the services, including without limitation:

  • Providing accurate onboarding information and timely access to required accounts

  • Responding to leads in a timely manner

  • Providing or approving creative materials without unreasonable delay

  • Maintaining sufficient advertising budget

  • Following recommended operational processes and scripts when provided

  • Complying with all applicable laws and platform policies

Failure to meet these responsibilities may materially affect performance and does not constitute grounds for a refund or dispute.

11) INKY (AI ASSISTANT) — PRICING, INCLUSION, AND ACTIVATION

INKY is an automation configuration service provided by MarketINK.

Pricing. INKY is offered under the following pricing structure:

  • Standalone INKY: $99/month plus a $69 one-time setup fee

  • INKY with Foundation Plan: $99/month plus a $19 one-time setup fee

  • INKY is included in Growth and Dominance plans

MarketINK may modify pricing for future purchases, renewals, or new subscriptions, subject to notice and applicable law.

Activation and onboarding. INKY activation requires completion of required onboarding forms and submission of necessary inputs. MarketINK cannot begin INKY configuration until required information is received.

Timeline. INKY is typically operational within approximately 72 hours after onboarding form completion, subject to workload, platform availability, and the completeness of submitted information.

Delays caused by incomplete onboarding, missing information, access issues, or client-side constraints are the Client’s responsibility.

12) INTELLECTUAL PROPERTY; LICENSE; RESTRICTIONS

All strategies, frameworks, workflows, templates, scripts, campaign structures, automation architectures, playbooks, documentation, and similar materials created by MarketINK (“Materials”) are and remain the exclusive intellectual property of ROCA DIGITAL LLC.

During an active subscription, you are granted a limited, revocable, non-transferable license to use the Materials solely for your own business operations.

You may not copy, resell, sublicense, distribute, publish, reverse engineer, or reuse MarketINK Materials to build or provide similar services to third parties.

Upon cancellation or termination, MarketINK is not obligated to transfer proprietary architecture, templates, automation frameworks, or internal methodologies beyond what is required by applicable law.

13) CONFIDENTIALITY

Each party may receive confidential information from the other. Each party agrees to maintain the confidentiality of non-public information and use it solely to perform obligations under these Terms.

14) SERVICE LEVEL COMMUNICATIONS

MarketINK aims to respond to client communications within three (3) business days. This is a service objective and not a guaranteed response time.

15) SUSPENSION; TERMINATION

MarketINK may suspend or terminate services immediately if:

  • Payments fail or remain unpaid

  • You violate these Terms or applicable laws

  • You engage in abusive, threatening, harassing, or bad-faith conduct

  • Your accounts are restricted or disabled in a way that prevents service delivery

  • Continued service would create legal, reputational, or compliance risk for MarketINK

Termination or suspension does not entitle you to refunds, credits, or prorations.

16) LIMITATION OF LIABILITY

To the fullest extent permitted by law:

  • MarketINK’s total cumulative liability for any claim shall not exceed the amount paid by you to MarketINK in the thirty (30) days immediately preceding the event giving rise to the claim.

MarketINK shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including without limitation lost profits, lost revenue, business interruption, loss of goodwill, or loss of data.

17) INDEMNIFICATION

You agree to defend, indemnify, and hold harmless ROCA DIGITAL LLC from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from:

  • Your content, offers, claims, or representations

  • Your violation of laws or platform policies

  • Your misuse of the services

  • Disputes between you and your customers/leads

  • Any allegation that your business practices are deceptive, unlawful, or misleading

18) FORCE MAJEURE

MarketINK shall not be liable for delays or failures caused by events beyond reasonable control, including without limitation platform outages, internet disruptions, government actions, labor disputes, natural disasters, or acts of war.

19) EU/UK NOTICE — RIGHT OF WITHDRAWAL (LIMITED WAIVER)

If you are located in the European Union or United Kingdom, you acknowledge that MarketINK provides customized services that may begin immediately upon purchase and onboarding.

To the fullest extent permitted by applicable law, by purchasing and requesting immediate commencement of services, you expressly acknowledge that once service performance has begun, any statutory right of withdrawal may be limited or waived.

20) GOVERNING LAW; VENUE

These Terms and any dispute arising from them shall be governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles.

To the fullest extent permitted by law, you agree that any dispute shall be brought exclusively in the state or federal courts located in Wyoming, and you consent to the personal jurisdiction of such courts.

21) CHANGES TO TERMS

MarketINK may update these Terms at any time. The “Last updated” date will reflect the effective revision date. Continued use of the services after updates constitutes acceptance of the revised Terms.

22) ENTIRE AGREEMENT; SEVERABILITY

These Terms, together with the referenced Policies, constitute the entire agreement between you and MarketINK regarding the services and supersede prior discussions or representations.

If any provision is held unenforceable, the remaining provisions shall remain in full force and effect.
